These Terms of Service (the “Terms”) are an agreement between you and EDC Built Inc. (“EDC Built”, “we”, “us”). By accessing or using the EDC Built platform (the “Service”), you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization. If you do not agree to these Terms, do not use the Service.
The Service provides project management for interior design and residential construction — including specifications, drawings, approvals, procurement, and billing tools. We may add, change, or remove features over time; if a change materially reduces the Service, your remedy is to stop using it and, where applicable, cancel your subscription.
You must provide accurate information when creating an account and keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account, and you agree to notify us promptly at the contact below of any unauthorized use. Each organization is responsible for the members it invites and for their compliance with these Terms.
You agree not to misuse the Service. In particular, you will not: use it for any unlawful, infringing, or harmful purpose; attempt to probe, breach, or circumvent its security or authentication; access or attempt to access data belonging to another organization; interfere with or disrupt its operation; resell or provide the Service to third parties as your own offering; or introduce malicious code. We may suspend access that we reasonably believe threatens the Service or other customers, and will restore it once the issue is resolved.
Paid plans are billed in advance on a recurring basis, and plan limits (such as seats and projects) apply to your subscription. Trial periods, where offered, convert or expire at the end of the trial. If a subscription lapses or payment fails, your workspace may become read-only until the issue is resolved — your data is retained as described in our Privacy & Data Policy. Except where required by law, fees are non-refundable. We will give reasonable notice of price changes, which take effect at your next renewal.
You retain all ownership of the content and data you and your team submit to the Service — your projects, specifications, drawings, documents, and files (“Customer Content”). You grant us only the limited rights needed to host, process, transmit, and display Customer Content in order to provide the Service to you. Each organization’s data is isolated from every other organization. You are responsible for having the necessary rights to the content you upload. You can export your organization’s data, and request its deletion, as described in our Privacy & Data Policy.
Our collection and handling of personal information is described in our Privacy & Data Policy, which forms part of these Terms.
The Service — including its software, design, and branding — is owned by EDC Built Inc. and its licensors and is protected by intellectual property laws. These Terms do not grant you any right to our trademarks, branding, or source code. We welcome feedback and suggestions; you agree we may use them to improve the Service without obligation to you.
The Service relies on third-party providers (for example, hosting, email delivery, and — when enabled — payment processing). We are responsible for our providers’ handling of your data as described in our Privacy & Data Policy, but we are not responsible for services you choose to use outside the Service.
The Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory — including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement — to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free. The Service supports your project workflows; it does not provide professional design, engineering, construction, or legal advice, and decisions made on your projects remain your responsibility.
To the fullest extent permitted by law: (a) neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data; and (b) our total liability for all claims arising out of or relating to the Service or these Terms is limited to the amounts you paid us for the Service in the twelve months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.
If you use the Service on behalf of an organization, that organization will defend and indemnify EDC Built Inc. against third-party claims arising from Customer Content or from use of the Service in violation of these Terms, provided we promptly notify you of the claim and reasonably cooperate.
You may stop using the Service, and cancel a subscription, at any time. We may suspend or terminate access for material breach of these Terms or non-payment, after notice where practicable. On termination you may request an export of your organization’s data as described in our Privacy & Data Policy; sections of these Terms that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and governing law) survive.
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in it, without regard to conflict-of-laws rules. The courts of British Columbia have exclusive jurisdiction over any dispute arising out of these Terms or the Service, and each party consents to their jurisdiction.
We may update these Terms from time to time. When we make a material change, we will revise the version and effective date above and ask you to accept the updated Terms before continuing to use the Service. Your continued use after acceptance constitutes agreement to the updated Terms.
